ELIGIBILITY
To enter the MadeGood “Festival Season Giveaway” (the “Giveaway”), you must be a legal U.S. resident who physically resides in the fifty (50) United States (including the District of Columbia) and, at the time of entry, must be eighteen (18) years of age or older and have reached the age of majority in your state of residence. Employees of Sponsor, Administrator, or their respective affiliates, sales representatives, agencies, dealers, retailers, wholesalers, distributors, and promotional and other vendor agencies involved in the Giveaway, their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors, and the immediate family (parent, spouse, sibling, child, grandparent, grandchild, regardless of where they reside) and household members of all such employees, are NOT eligible. The Giveaway is subject to all applicable federal, state, and local laws and regulations. Void in New York, Florida, and where otherwise prohibited or restricted by law.
GIVEAWAY PERIOD
The Giveaway begins at 12:01 a.m. Eastern Time (“ET”) on April 3, 2026, and ends at 11:59 p.m. ET on April 10, 2026 (the “Giveaway Period”).
HOW TO ENTER
Standard Entry: During the Giveaway Period, follow @madegoodfoods on Instagram and submit a comment to the official Giveaway post tagging three (3) friends. Each tagged comment constitutes one (1) entry into the Giveaway. Limit one (1) standard entry per person.
Bonus Entry: For one (1) additional bonus entry, tag @madegoodfoods on Instagram or TikTok in a video of you sharing a “MadeGood Moment” with friends during the Giveaway Period. Creativity is encouraged. Each qualifying bonus video constitutes one (1) additional entry. Limit one (1) bonus entry per person.
Maximum Entries: Limit two (2) total entries per person during the Giveaway Period (one standard entry and one bonus entry).
Entries that are lost, late, incomplete, illegible, corrupted, mechanically reproduced, falsified, mutilated, damaged, altered, or otherwise irregular, as well as misdirected entries or entries not received for any other reason, will be void and disqualified at Sponsor’s sole and absolute discretion. The information you provide will be used consistent with Sponsor’s Privacy Policy available at https://www.madegoodfoods.com/policies/privacy-policy.
PRIZE AND APPROXIMATE RETAIL VALUE (“ARV”)
One (1) winner will be randomly selected to receive the following prize package for the winner and three (3) guests (four persons total):

GENERAL PRIZE CONDITIONS
All prize details not specifically set forth in these Official Rules shall be determined in Sponsor’s sole and absolute discretion. Sponsor shall have no responsibility or obligation to a winner or potential winner who is unable or unavailable to, or who does not for any reason, accept or utilize the prize. Any unclaimed and/or unused prize or portion thereof will remain the property of Sponsor. No more than the stated number of prizes will be awarded. Prize components may be subject to separate terms, conditions, restrictions, and requirements imposed by prize providers, airlines, venues, ticket issuers, hotels, or other third parties, and winner and guests agree to comply with all such applicable terms, conditions, restrictions, and requirements. Sponsor is not responsible for and will not replace any lost, stolen, damaged, destroyed, delayed, or misdirected tickets, travel documents, gift cards, vouchers, or prize components.
GUEST REQUIREMENTS
Winner’s guests must execute and return any liability release, publicity release, media release, travel release, health acknowledgment, or other documentation that Sponsor may require, in Sponsor’s sole discretion, prior to participating in any portion of the prize. If any guest is deemed by Sponsor to be unwilling or unable to execute required documentation, comply with applicable requirements, or participate in the prize as awarded, such guest may be disqualified from participation and no substitute guest, cash payment, or other compensation will be provided unless Sponsor, in its sole discretion, elects otherwise. Winner shall remain solely responsible for the conduct of all guests and for ensuring that all guests comply with these Official Rules and all applicable travel, lodging, event, and safety requirements.
CONDUCT AND REMOVAL
Sponsor reserves the right, in its sole and absolute discretion, to disqualify any entrant, winner, or guest, and to remove any winner or guest from any aspect of the Giveaway or prize experience, if such person acts in an unsportsmanlike, disruptive, abusive, threatening, harassing, illegal, unsafe, intoxicated, or inappropriate manner, or in any manner that may annoy, abuse, threaten, or harass any other person, or damage the reputation or goodwill of Sponsor or any Giveaway-related entity. In such event, such person may be disqualified and removed without warning, and Sponsor shall have no further obligation to such person, including any obligation to provide any remaining portion of the prize, any substitute prize, or any compensation.
ENTRY CONDITIONS; PLATFORM RULES
Use of any automated system, bot, macro, script, programmed device, third-party service, or similar means to enter or participate is prohibited and will result in disqualification. Entries generated by script, computer program, robotic, repetitive, automatic, macro, programmed, or similar means are void. Entrants must comply with all applicable Instagram and TikTok terms of use, community guidelines, and platform rules. Any entry content that, in Sponsor’s sole discretion, is unlawful, obscene, offensive, defamatory, discriminatory, sexually explicit, violent, infringing, misleading, unsafe, or otherwise inconsistent with Sponsor’s brand image or these Official Rules may be disqualified.
ENTRY CONTENT REPRESENTATIONS
By submitting any video, comment, tag, caption, image, audio, or other content in connection with the Giveaway (collectively, “Entry Content”), entrant represents and warrants that: (a) the Entry Content is entrant’s original work or entrant otherwise has all rights, licenses, permissions, and consents necessary to submit the Entry Content and grant the rights granted herein; (b) the Entry Content does not and will not infringe, misappropriate, or violate any copyright, trademark, privacy, publicity, contract, or other right of any person or entity; (c) the Entry Content does not contain any material that is false, defamatory, libelous, obscene, pornographic, hateful, or unlawful; and (d) the Entry Content complies with these Official Rules and all applicable laws and platform rules. Entrant agrees to indemnify and hold harmless the Releasees from and against any and all claims arising out of or relating to the Entry Content, including any claim that the Entry Content infringes or violates the rights of any third party.
LICENSE TO ENTRY CONTENT
By submitting Entry Content, entrant grants to Sponsor and its designees a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive license, with the right to sublicense, to use, reproduce, edit, modify, adapt, publish, display, perform, distribute, transmit, create derivative works from, and otherwise exploit such Entry Content, together with entrant’s name, username, likeness, voice, image, and biographical information as embodied therein, in any and all media now known or hereafter devised, for advertising, promotional, marketing, publicity, trade, and Giveaway administration purposes, without further notice, approval, or compensation, except where prohibited by law.
NO ENDORSEMENT BY THIRD PARTIES
Participation in this Giveaway does not create any endorsement, sponsorship, approval, affiliation, or association by or with Instagram, TikTok, Coachella Valley Music and Arts Festival, Goldenvoice, AEG Presents, Delta Air Lines, AvantStay, or any other third-party prize provider, service provider, venue, or brand identified in these Official Rules. All third-party names, logos, trademarks, and service marks are the property of their respective owners and are used solely for purposes of prize description and identification.
FORCE MAJEURE; EVENT CHANGES
Releasees shall not be liable to winner, guests, or any other person for failure to supply the prize or any part thereof by reason of any act of God, pandemic, epidemic, weather event, fire, flood, natural disaster, earthquake, explosion, labor dispute, strike, civil disturbance, riot, war, terrorism, governmental action, public health emergency, travel restriction, airline interruption, venue closure, event cancellation, or any other cause beyond the reasonable control of Sponsor. In the event of any such occurrence, Sponsor reserves the right, in its sole and absolute discretion, to modify, substitute, suspend, cancel, terminate, or award all or any portion of the prize in a manner Sponsor deems fair and appropriate, without further obligation except as required by law.
HEALTH AND SAFETY; ASSUMPTION OF RISK
Winner and guests acknowledge that participation in the prize experience may involve inherent risks, hazards, and dangers, both known and unknown, including risks associated with air travel, ground transportation, lodging, public events, large crowds, heat, dehydration, communicable illness exposure, personal injury, property damage, and death. By accepting or participating in any portion of the prize, winner and guests voluntarily assume all such risks and agree that the Releasees shall not be responsible for any injuries, losses, or damages of any kind arising out of or related to participation in the prize experience, except where prohibited by law.
RIGHT TO VERIFY; COOPERATION
Sponsor reserves the right, in its sole and absolute discretion, to verify the eligibility of any entrant, the validity of any entry, and compliance with these Official Rules. Entrants agree to cooperate fully with Sponsor in any such verification process and to provide such documentation as Sponsor may reasonably request, including proof of identity, age, residence, account ownership, and eligibility. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
SEVERABILITY; INTERPRETATION
If any provision of these Official Rules is determined to be invalid, illegal, or unenforceable, such provision shall be enforced to the fullest extent permitted by law and the remaining provisions shall remain in full force and effect. Headings are provided solely for convenience and shall not affect the interpretation of these Official Rules. In the event of any inconsistency between any abbreviated rules, promotional materials, and these Official Rules, these Official Rules shall control.
MEDIA RELEASE ACKNOWLEDGMENT OF GUEST AUTHORITY
Winner represents and warrants that winner has informed all guests that participation in the prize experience is conditioned upon such guests’ agreement to be photographed, filmed, and recorded and to execute any releases or other documents requested by Sponsor. Sponsor may refuse participation to any guest who has not executed required documentation or who revokes consent prior to or during the prize experience, and in such event Sponsor shall have no liability for any resulting inability of winner or such guest to participate in any portion of the prize.
The actual value of the prize may vary depending on point of departure and fluctuations in airfare, accommodation pricing, and other factors. If the actual value of the prize is less than stated, the difference will not be awarded in cash and no such claim will be honored. Prize is non-transferable and no substitution or cash equivalent is allowed, except in Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of the same approximate retail value if the advertised prize becomes unavailable for any reason. Prize consists only of items specifically listed as part of the prize. All costs and expenses not specified herein are the sole responsibility of the winner.
TRAVEL CONDITIONS
Winner and guests must be available to travel on the specified dates (April 16-20, 2026). Failure to travel on the specified dates will result in forfeiture of the prize, and an alternate winner may be selected. Winner and all guests must possess valid government-issued photo identification required for air travel. All guests must be at least eighteen (18) years of age. Sponsor will provide up to $500 per person toward round-trip airfare to LAX. If the cost of winner's or any guest's airfare exceeds $500, such person shall be responsible for the difference. Winner and guests are responsible for transportation to and from their home airport. All travelers must comply with airline policies, festival rules, and accommodation rules. No refund or compensation will be made in the event of cancellation or delay of any flight or festival event. Winner and guests acknowledge and accept that festival attendance involves inherent risks, including but not limited to exposure to extreme heat, loud noise, large crowds, and other environmental conditions.
TAX OBLIGATIONS
All taxes on the prize are the sole responsibility of the winner. Because the total value of the prize package exceeds $600, the winner will be required to provide a completed IRS Form W-9, including Social Security number or Taxpayer Identification Number, prior to prize fulfillment. Sponsor will issue an IRS Form 1099-MISC reflecting the prize ARV as income to the winner. Failure to provide a completed W-9 within the time specified by Sponsor may result in forfeiture of the prize.
RANDOM DRAWING & ODDS OF WINNING
On or about April 10, 2026, one (1) winner will be selected by random drawing from all eligible entries received during the Giveaway Period. The drawing will be conducted by Administrator. Odds of winning depend on the total number of eligible entries received. All decisions of Sponsor and Administrator are final and binding.
WINNER NOTIFICATION AND CONFIRMATION
The selected entrant will be notified via Instagram or TikTok Direct Message (on the platform through which their winning entry was submitted) within twenty-four (24) hours of the drawing. To be confirmed as the winner, the selected entrant must: (1) respond to the notification within twenty-four (24) hours; and (2) if requested by Sponsor, execute and return within a reasonable specified time an Affidavit of Eligibility, Release of Liability, Media Release, IRS Form W-9, and Prize Acceptance Agreement (collectively, “Winner’s Documents”). If the selected entrant cannot be confirmed as the winner for any reason, or if the Winner’s Documents are not fully completed within the specified time, or the notification is returned as undeliverable, the selected entrant may be disqualified and an alternate winner will be chosen by random drawing from the remaining eligible entries.
MEDIA RELEASE AND CONTENT LICENSE
By accepting the prize, winner and guests consent to being photographed, filmed, and recorded by Sponsor’s content team throughout the prize experience, including but not limited to airport arrival, accommodation activities, festival attendance, and all related programming. Winner and guests grant Sponsor a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, distribute, display, and create derivative works from all photographs, video, audio, and other content captured during the prize experience, in any media now known or hereafter developed, for Sponsor’s marketing, advertising, promotional, and social media purposes, without additional compensation, notice, or consent. Winner and guests waive any right to inspect or approve the finished content or the use to which it may be applied.
PUBLICITY RELEASE
Except where prohibited by law, acceptance of the prize constitutes winner’s and guests’ consent that their name, likeness, voice, biographical data, city and state of residence, and statements regarding the Giveaway may be used by Sponsor for advertising and promotional purposes without limitation and without additional notice, compensation, or consent.
ENTRANTS’ AGREEMENT TO ABIDE BY OFFICIAL RULES
By entering, entrant agrees that they have read, accepted, and will abide by and be bound by these Official Rules and agrees that any dispute with regard to the conduct of this Giveaway, rule interpretation, or the awarding of the prize shall be submitted to Sponsor, whose decision shall be binding and final.
RELEASE OF LIABILITY
By entering, entrant agrees to release and hold harmless Sponsor, Administrator (Booked & Busy, LLC), Instagram, TikTok, Coachella Valley Music and Arts Festival, Goldenvoice, AEG Presents, Delta Air Lines, AvantStay, and their respective parent companies, affiliates, subsidiaries, officers, directors, employees, agents, representatives, dealers, retailers, wholesalers, distributors, service agencies, independent contractors, and promotional and other vendor agencies involved in the Giveaway (collectively, “Releasees”) from any injury, loss, or damage to person (including death) or property due, in whole or in part, directly or indirectly, to the acceptance, possession, use, or misuse of the prize, participation in any Giveaway-related activity (including but not limited to travel, festival attendance, accommodation, and transportation), or participation in the Giveaway. Entrant further agrees to release and hold harmless Releasees from any claims arising from or related to the content creation and filming activities described in the Media Release section.
LIMITATION OF LIABILITY
Releasees are not responsible for, and each entrant releases and holds harmless the Releasees from and against, any and all losses, damages, actions, demands, liabilities, or claims of whatever nature or kind arising out of or in connection with the prize or any portion thereof, or this Giveaway. Without limiting the foregoing, the Releasees will not be responsible for: (a) any typographical or other error in printed or other related materials; (b) the administration of the Giveaway or the selection of entrants; (c) errors in the announcement of the prize, including erroneous appearance of qualification; (d) any entries or entrants disqualified for any reason; (e) any loss, damage, or claims caused by or related to the prize, travel, festival attendance, or the Giveaway itself; or (f) any injury, damage, or loss arising from attendance at the Coachella Valley Music and Arts Festival or any related events, including but not limited to injuries resulting from heat exposure, crowd conditions, noise, or other environmental factors.
WARNING
ANY ATTEMPT BY ANY PERSON TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS. SHOULD SUCH ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW AND TO BAN OR DISQUALIFY SUCH PERSON FROM THIS AND FUTURE GIVEAWAYS.
DISPUTES REGARDING THE IDENTITY OF ENTRANT
Entries will be deemed made by the authorized Instagram or TikTok account holder of the entry submitted. In the event of a dispute, the selected entrant may be required to provide proof that they are the authorized account holder of the identified account.
CHANGES TO GIVEAWAY AND OFFICIAL RULES
Under no circumstances will more than the stated number of prizes be awarded. Sponsor reserves the right, in its sole and absolute discretion, to modify, cancel, or suspend this Giveaway, or to amend the Official Rules at any time, without prior individual notice, should any factor interfere with the administration, security, or proper play of this Giveaway as contemplated by these Official Rules. If for any reason Sponsor is prevented from continuing with this Giveaway, or the integrity and/or feasibility of the Giveaway is undermined by any event including but not limited to fire, flood, pandemic, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, cancellation or postponement of the Coachella Valley Music and Arts Festival, or any federal, state, or local government law, order, or regulation, Sponsor shall have the right, but not the obligation, in its sole and absolute discretion, to award the prize from among all eligible entries received to date.
DISPUTES / CHOICE OF LAW
EACH ENTRANT AGREES THAT: (1) ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR IN CONNECTION WITH THIS GIVEAWAY, OR ANY PRIZE AWARDED, SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, AND ANY JUDICIAL PROCEEDING SHALL TAKE PLACE IN A FEDERAL OR STATE COURT IN THE STATE OF CALIFORNIA; (2) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH ENTERING THIS GIVEAWAY, BUT IN NO EVENT ATTORNEYS’ FEES; AND (3) UNDER NO CIRCUMSTANCES WILL ENTRANT BE PERMITTED TO OBTAIN AWARDS FOR, AND ENTRANT HEREBY WAIVES ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES, AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION, AND ENFORCEABILITY OF THESE OFFICIAL RULES, OR THE RIGHTS AND OBLIGATIONS OF ENTRANT AND THE SPONSOR IN CONNECTION WITH THIS GIVEAWAY, SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA, WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES.
RULES GOVERN
The Giveaway will be run in accordance with these Official Rules, which shall prevail, govern, and control in the event of any inconsistency with any Giveaway-related materials.
PRIVACY
Personally identifiable information submitted by entrants as part of this Giveaway will be used to administer the Giveaway, select the winner, and fulfill the prize, and will be treated in accordance with Sponsor’s Privacy Policy available at https://www.madegoodfoods.com/policies/privacy-policy. By entering, entrants consent to the collection, use, and disclosure of their personal information as described in these Official Rules and Sponsor’s Privacy Policy. Sponsor will not sell or share entrant information with third parties for marketing purposes unrelated to this Giveaway.
WINNERS’ LIST
For the name of the winner, send a self-addressed stamped envelope to: Winner’s List – MadeGood Festival Season Giveaway, c/o Riverside Natural Foods Ltd 2233-A2 Sheppard Ave W, Toronto, ON M9M 2Z7.
Requests must be received no later than July 10, 2026.
WINNER BACKGROUND CHECK; MORALS
To the extent permitted by applicable law, Sponsor reserves the right, in its sole and absolute discretion, to conduct or cause to be conducted a background check on a potential winner and/or any guest at any time before or after confirmation of winner status, for the purpose of confirming eligibility, compliance with these Official Rules, and/or that such person has not engaged in conduct that could damage the reputation or goodwill of Sponsor or any Giveaway-related entity. By entering and/or accepting participation in the prize, entrant, winner, and guests agree to cooperate reasonably with any such background check and to provide any additional authorizations or information requested by Sponsor. Sponsor may disqualify any potential winner, remove any guest, or revoke all or any portion of the prize if any background check reveals, in Sponsor’s sole and absolute discretion, conduct, allegations, criminal history, or other information inconsistent with Sponsor’s brand image, values, or business interests, or that may expose Sponsor or any Giveaway-related entity to public disrepute, contempt, scandal, or ridicule.
TRAVEL ARRANGEMENTS; ITINERARY CONTROL
All travel arrangements shall be made by Sponsor or its designee in its sole discretion. Without limiting the foregoing, Sponsor shall determine all airline(s), airport(s), flight(s), routing(s), travel date(s), seat assignment(s), lodging location, room configuration, ground transportation arrangements, and all other travel-related details. Travel and lodging are subject to availability, blackout dates, capacity controls, changes, and restrictions imposed by applicable providers. Winner and guests must travel on the same itinerary unless Sponsor otherwise approves in writing. Frequent flyer miles, loyalty points, upgrades, vouchers, and other promotional benefits shall not accrue or be awarded unless determined by the applicable provider. Sponsor shall have no responsibility for obtaining, changing, or upgrading any travel arrangements requested by winner or guests.
NO ALCOHOL INCLUDED; RESPONSIBLE CONDUCT
No alcohol is included as part of the prize unless expressly stated in these Official Rules. If winner or any guest elects to purchase, consume, or otherwise partake in alcoholic beverages or any other substances at any time in connection with the prize experience, such decision shall be made solely at such person’s own risk and expense, and Sponsor shall have no responsibility or liability whatsoever arising therefrom. Winner and guests agree to act responsibly at all times and to comply with all applicable laws, venue policies, accommodation rules, and transportation provider requirements relating to alcohol, controlled substances, and public conduct.
ROOM DAMAGE; INCIDENTALS
Winner shall be solely responsible for any and all incidental charges, resort fees, security deposits, room service charges, in-room purchases, telephone charges, parking charges, property damage, cleaning fees, fines, penalties, or other costs arising from or related to winner’s or any guest’s use of any lodging or other prize component, except to the extent expressly included in the prize by Sponsor. Sponsor may require winner to provide a valid major credit card at check-in or otherwise satisfy provider requirements for incidental charges and damage deposits. Neither Sponsor nor Administrator shall have any responsibility for unauthorized charges, damage claims, or similar amounts assessed by any accommodation provider or other third party.
LOST OR CONFISCATED PROPERTY
Sponsor and Administrator shall have no responsibility or liability for any lost, stolen, damaged, delayed, left behind, or confiscated luggage, personal property, cash, identification, medication, tickets, devices, or other items belonging to winner or any guest at any time in connection with the Giveaway or prize experience. Winner and guests are solely responsible for safeguarding their own property and for complying with all security procedures, baggage rules, prohibited item restrictions, and screening requirements imposed by airlines, airports, venues, lodging providers, and other third parties.
MEDICAL CARE; INSURANCE
Winner and guests acknowledge that Sponsor has not obtained and is under no obligation to obtain any health, medical, travel, accident, disability, life, or other insurance on behalf of winner or guests in connection with the prize. Winner and guests are solely responsible for obtaining any insurance coverage they deem appropriate and for paying all costs of medical treatment, medication, transportation, evacuation, or other services not expressly included in the prize. In the event of illness, injury, or emergency, Sponsor may, but shall have no obligation to, arrange for or facilitate medical attention or transportation, and any resulting costs shall be the sole responsibility of the winner and/or applicable guest.
COMPLIANCE WITH LAWS; INSTRUCTIONS OF SPONSOR
Winner and guests shall at all times comply with all applicable federal, state, and local laws, ordinances, regulations, and orders, as well as all instructions, policies, and requirements communicated by Sponsor, Administrator, airlines, airports, transportation providers, lodging providers, security personnel, event producers, venue operators, and other third-party providers in connection with the prize experience. Failure to comply with any such law, instruction, policy, or requirement may result in disqualification, removal from participation, forfeiture of all or any portion of the prize, and/or referral to appropriate authorities, all without further obligation or liability on the part of Sponsor or Administrator.
UNAUTHORIZED COMMERCIAL USE; NO IMPLIED RELATIONSHIP
Participation in the Giveaway or acceptance of a prize does not create any agency, partnership, employment, joint venture, sponsorship, endorsement, or other fiduciary or special relationship between Sponsor and any entrant, winner, or guest. Winner and guests may not use Sponsor’s name, logos, trademarks, trade dress, content, or other intellectual property, or represent themselves as affiliated with, endorsed by, or acting on behalf of Sponsor, except with Sponsor’s prior written consent. Winner and guests shall not exploit any portion of the prize experience for any commercial purpose, including paid endorsements, branded collaborations, licensing, merchandising, or other monetization, without Sponsor’s prior written approval.
SPONSOR OWNED CONTENT; NO EXPECTATION OF USE
Any photographs, video recordings, audio recordings, interviews, written materials, edits, compilations, productions, or other content created, commissioned, captured, or obtained by or on behalf of Sponsor in connection with the Giveaway or prize experience, together with all copyrights and other intellectual property rights therein, shall be owned exclusively by Sponsor or its designee to the fullest extent permitted by law. Sponsor shall have the unrestricted right, but not the obligation, to edit, crop, alter, composite, reproduce, publish, exhibit, exploit, distribute, display, perform, transmit, license, assign, and otherwise use such content, in whole or in part, in any manner and in any media now known or hereafter devised, throughout the world, in perpetuity, without further approval, accounting, or compensation. Neither entrant, winner, nor any guest shall have any right to review, approve, receive, or require use of any such content, nor shall Sponsor have any obligation to post, distribute, or otherwise use any content captured in connection with the Giveaway or prize experience.
WAIVER OF MORAL RIGHTS; UNION AND GUILD MATTERS
To the fullest extent permitted by applicable law, entrant, winner, and guests irrevocably waive and agree not to assert any so-called moral rights, droit moral, rights of attribution, rights of integrity, or similar rights they may have in or with respect to any Entry Content or any photographs, recordings, or other materials created or used pursuant to these Official Rules. Entrant, winner, and guests represent and warrant that their participation will not subject Sponsor to any obligations under any collective bargaining agreement, union rule, guild requirement, residual payment obligation, reuse fee, pension contribution, health contribution, or similar liability. If any such obligation is asserted, entrant, winner, and/or guest, as applicable, shall be solely responsible therefor and shall indemnify and hold harmless the Releasees from and against any and all resulting claims, liabilities, costs, and expenses.
RECORDING CONSENT; SECURITY AND SURVEILLANCE
Entrant, winner, and guests acknowledge and agree that various portions of the prize experience, including airports, transportation hubs, lodging properties, festival grounds, public spaces, and other locations, may be subject to photography, audio recording, video recording, body-worn camera capture, livestreaming, CCTV, surveillance systems, or other monitoring by Sponsor and/or third parties. By participating, winner and guests consent to such capture and monitoring and acknowledge that Sponsor shall have no responsibility or liability with respect to recordings made by third parties or in public settings.
SOCIAL MEDIA DISCLOSURES
If winner or any guest posts, uploads, streams, shares, or otherwise disseminates any content relating to the Giveaway or prize experience, such person shall comply with all applicable laws, regulations, and guidelines concerning endorsements, testimonials, sponsorship disclosures, and advertising transparency, including applicable Federal Trade Commission guidance, and with all platform terms and rules. Without limiting the foregoing, winner and guests shall make clear and conspicuous disclosures of any material connection with Sponsor where required by law. Sponsor’s failure to monitor or enforce compliance shall not constitute acceptance of any non-compliant content.
RIGHT TO WITHHOLD, DELAY, OR REVOKE PRIZE FULFILLMENT
Sponsor reserves the right, in its sole and absolute discretion, to withhold, delay, cancel, revoke, or rescind confirmation of any winner or the fulfillment of all or any portion of the prize at any time if Sponsor determines that: (a) the entrant is ineligible; (b) the entrant, winner, or any guest has violated these Official Rules; (c) any representation or information provided is false, incomplete, misleading, or cannot be verified to Sponsor’s satisfaction; (d) prize fulfillment would or may expose Sponsor or any Giveaway-related entity to legal, reputational, safety, operational, or business risk; or (e) fulfillment is impracticable for any reason outside or within Sponsor’s reasonable control. In any such event, Sponsor may, in its sole discretion, select an alternate winner from among the remaining eligible entries, award a substitute prize, or elect not to award the affected prize component, without liability except as required by law.
ELECTRONIC SIGNATURES; DIGITAL SUBMISSION
Where permitted by Sponsor, any affidavit, release, consent, tax form, acknowledgment, or other document required in connection with the Giveaway or prize may be executed and delivered electronically, and such electronic signature and transmission shall have the same force and effect as an original handwritten signature and physical delivery. Sponsor reserves the right to require original signed documents at any time in its sole discretion.
NO WAIVER
The failure of Sponsor or Administrator to enforce any provision of these Official Rules shall not constitute a waiver of that provision or of any other provision. Any waiver by Sponsor of any provision of these Official Rules must be in writing and signed by Sponsor to be effective. No waiver of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default.
ENTIRE AGREEMENT REGARDING GIVEAWAY
These Official Rules, together with any Winner’s Documents and any additional releases, acknowledgments, or agreements expressly required by Sponsor in connection with the prize, constitute the entire agreement between entrant and Sponsor with respect to the Giveaway and supersede all prior or contemporaneous communications, representations, or understandings, whether oral or written, concerning the Giveaway, except as expressly stated herein. In the event of any conflict between these Official Rules and any Winner’s Documents or other required agreements, Sponsor shall determine, in its sole discretion, which provision shall control to the extent permitted by applicable law.
